RWE agreed to acquire additional indirect stakes in Amprion from five shareholders of investment vehicle M31 for EUR 3.6 billion, lifting its pro-rata ownership to 55 percent from 25.1 percent. To fund the purchase and future grid investments, the company placed 74.3 million new and treasury shares, raising EUR 4 billion in an oversubscribed offering with QIA and NBIM taking EUR 1 billion as cornerstone investors. RWE committed a total of EUR 6.5 billion by 2031 for Amprion’s regulated grid expansion—EUR 2.5 billion already allocated under the prior 25.1 percent stake and an additional EUR 4 billion tied to the enlarged holding. Amprion operates an 11,000-kilometre extra-high-voltage network and is developing or constructing multiple offshore grid connections. Closing is expected in the third quarter of 2026, subject to regulatory approvals.
